Company: Basetender LLC (“Company”, “We”, “Us”, or “Our”)
Service: Trucking Asset and Broker Operations Software (“Service”)

1. Acceptance of Terms

By accessing or using the Service, you (“You”, “Your”, or “User”) agree to be bound by the terms of this End-User License Agreement (“Agreement”). If you do not agree, you must not use the Service.

2. License Grant

Subject to the terms of this Agreement, Basetender LLC grants You a non-exclusive, non-transferable, revocable license to access and use the Service solely for Your internal business operations in the trucking or brokerage industry.

3. Multi-Tenant Environment

You acknowledge that the Service operates in a multi-tenant environment, meaning multiple customers share the same infrastructure while maintaining separation of data and configurations. You agree not to attempt to access or interfere with any data or resources belonging to other tenants.

4. Restrictions

You must not:

Copy, modify, or create derivative works of the Service or its components.
Reverse-engineer, decompile, or attempt to extract the source code.
Use the Service for unlawful purposes or in violation of applicable transportation, brokerage, or data privacy laws.
Share Your access credentials with unauthorized individuals.

5. Data Ownership and Privacy

You retain ownership of all data You input into the Service. By using the Service, You grant Us a limited license to process, store, and transmit Your data as necessary to operate the Service. Our use of Your data is also governed by Our Privacy Policy.

6. Service Availability and Modifications

We strive to maintain uninterrupted access to the Service but do not guarantee uptime. We may update, modify, or discontinue features at Our discretion, with or without notice.

7. Payment and Termination

If You are on a paid plan:

Payments are due according to Your subscription terms.
Failure to pay may result in suspension or termination of access.

We may terminate this Agreement immediately if You violate any of its terms.

8. Disclaimer of Warranties

The Service is provided “AS IS” without warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Basetender LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or relating to Your use of the Service.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of laws principles.

11. Changes to this Agreement

We reserve the right to update this Agreement at any time. Updates will be posted on this page with a revised Effective Date. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
